Passable guide, but certainly not a reference book

A very brief and concise view of venture capital structures, but also somewhat basic in content. Examples could use more details (e.g., the sample weighted average anti-dilution calculations).
Disappointed that the author does not address more complicated security structures other than common and straight convertible preferred. Also, I was surprised given the recent publication date that there was not a comparison on how deal terms have changed from the dot-com boom and bust.
Certainly not a must have book for my bookshelf.
Sahlman's Entrepreneurial Venture is a much better "reference" book and cheaper too.

Very Disappointed

After enjoying his first book, Term Sheets and Valuations, I was looking forward to this one. I regret to say that I found it a big waste of time and a bigger waste of money.

It appears as if the marketing of the book by the pblisher sought to take advantage of his first book by raising the price by 500%, giving the impression that this book was better or more comprehensive. However, nothing could be further from the truth.

Direct to the Deal Terms
This book has a few sample drafts of term sheets and other legal documents. That is not the primary focus of this book. You can hire that kind of talent (legal drafting) on a per hour basis. This book helps the owners make the BUSINESS decisions necessary to avoid hamstring their new venture during this difficult passage. Included is information about what to pay your independent directors, advisory board members and senior management. Also included is what percentage of the company the founders should expect to keep, how to avoid excessive dilution during an unfortunate down round and how to present your opportunity to potential investors. All of these BUSINESS decisions are beyond the discretion of attorneys in this area, they typically instruct the entrepreneur to reflect upon the topic and then the attorney will draft it to suit.

This book has some great recipes and tips eating healthy and and getting in better health. There are several tips thrown in throughout the book as well that I found helpful. I have tried several of the recipes and they have all tasted great and I'm looking forward to trying more of them. This is an easy read with some great tips and ideas as well as recipes. For me the single most valuable aspect of this book is that it is *validating*- that I'm not the only one who has experienced lows during this "happiest" time in my life. A Man Reviews the Conscious Bride
I'm a 35 year old man who read this book at considerable threat to my masculinity. I read it at coffee shops, doctor waiting rooms, and finally as I grew more bold, in the gym where I received withering looks from neckless men who were obviously out of touch with their feminine side.
It's a deceptive book, that hides something for a man who can see beyond the powder blue cover with a pert bride who sits dreamily in thought. In it I see what roller coaster the bride is on, as well as seeing myself reflected in those pages. It made me feel that I wasn't alone in my experiences with family and my bride, (now ex-wife) and I wondered to myself, where was this book when I needed it?
This book works on different levels that allows a reader to become more aware of unconscious processes and therefore more grounded in their wedding process. I went to a bookstore yesterday looking for relief in a book about my post wedding angst. Viola! I'm in my second month of marriage and my husband and I are discovering why they say the first year is the most difficult. We're both definitely going through our own personal growing pains. Among the many lovely items I received from my Queen on Valentine's Day was this: "The Guide To Getting It On!" by Paul Joannides, published in 2000 by Goofy Foot Press. This is a huge 698-page oversized paperback book that covers just about every sex topic you can think of, with an especial emphasis on every aspect of The Deed itself. It's delightfully light-hearted and yet it's amazingly informative, discussing all sorts of topics in a frank, playful style that makes it a delight to read. Sample chapters in the book include:

Unflinching yet so accessible
When it comes to sex guides, there is no shortage. Many are written just to titillate the reader. Many are a guidebook to kink and assume that the reader already knows the basics for more straightforward sexual fun. Some ridiculously romanticize while others read like a medical school text.
Paul Joannides' "The Guide to Getting It On!" is the ideal sex guide. It deals with the basics as well as the more adventuresome stuff. It presents health issues with honest clarity, but is never frightening or clinical. It is a thick tome, but a remarkably fast read. Joannides is thorough, yet concise.
This is the best book on the market dealing with this subject matter. The advice for how to bring up children with healthy, age appropriate views about sex is invaluable. The only problem I have with this book is that I wish I'd written it myself.

The above is my response to this book. When I first started looking though it and reading some of what Paul Joannides has to say, I thought, "Right on!" And the more I read, the more I felt this way. Mr. Joannides deserves some kind of "Medal of Honor" for writing a comprehensive, non-judgmental and at times hip and irreverent look at the world of sexuality. He leaves virtually no topic uncovered. Dang, why wasn't a book like this around twenty years ago? I could have really used it back then! He also obviously put a great deal of effort and love into this book which spans almost 700 pages. Not only is it informative and humorous, but it gets its subject matter across in a down-to-earth and common-sense style. I also loved all the illustrations in the book....

I'm here to tell you I learned these techniques from Wendy several years ago and haven't looked back since. I literally have to turn down some homeowners begging to give their houses to me. I only wish this book had been available to me several years ago.

"Investing in Real Estate With Lease Options and 'Subject-To' Deals" by Wendy Patton is one of the few books you'll find at booksellers like Amazon.com that covers "Subject To" techniques in any depth at all. She covers everything from how to find them to how to sell them - complete with checklists and valuable tips learned from hardwon experience.

Very useful - but be wary of some broad assumptions
This book is a great one to get you acquainted with lease-options and subject-to's. Wendy takes you step by step through the process, and also gives you checklists to refer to as you put your deal together. She does however make some broad assumptions from time to time about when either type of contract is beneficial and why. For example, she mentions that owners with good credit are more likely to entertain a lease-option than a subject-to. This is not always the case. Sometimes owners with bad credit are looking for a "leg up", but don't want to surrender title. In that case, they actually might prefer a lease-option. Also in my experience, many owners with good credit prefer a subject-to because they want their name off the title, but don't want to deal with the tax hit of selling the property outright, right now. If they enter a subject-to, they can have their mortgage payments made by the investor, and give them time to have the property reclassified from "primary residence" to...

This is a great book if you're looking to find ways of raising money for your real estate investments instead of going with traditional or "hard money" lenders. A very informative, quick read.

A must-read for real estate investors

Once again Susan knocks it out of the park! Very well written and an easy read. $ is the key to success in real estate, but it doesn't have to be your own money.

Other so-called gurus state, "if you find the deal, the money will appear." As if by magic it will conjure out of thin air! Rubbish.

Susan explains how to get the money *before* you get a deal. This gives you negotiating power. I highly recommend this book!

I've been a full time real estate investor for over 10 years & found that I was still able to grab a few really good nuggets of information that I had not thought of. I can see how implementing just a few of these little strategies will increase my access to cash & ultimately allow me to make more money this year. Hard money lenders are just too damn expensive, and this book will show you how to go out and secure financing at around 4% (or less if you have the balls).
